THESE TERMS CONTAIN IMPORTANT DISCLAIMERS (SECTION 2), DISCLAIMERS OF WARRANTIES (SECTION 8), A LIMITATION OF LIABILITY (SECTION 9), AND AN INDEMNIFICATION OBLIGATION (SECTION 10).

The Service includes subscriptions that automatically renew. Please read Section 5 (Subscriptions and Payments) carefully before completing a purchase. To avoid being charged you must cancel your subscription at least 24 hours before the end of the then-current subscription period.

Welcome to Aesty. These Terms and Conditions of Use (the “Terms”) govern your use of the website at aesty.ai (including the style quiz at aesty.ai/quiz), the Aesty mobile app, and related services (collectively, the “Service”) provided by Aesty Labs Pte. Ltd. (UEN 202526091G), a private limited company incorporated in the Republic of Singapore (“Aesty,” “we,” “us,” or “our”).

1. Acceptance of Terms

By creating an Aesty account, accessing or using the Service, or clicking a button or checkbox indicating acceptance, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to any part of these Terms, do not use the Service.

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract.

Our Privacy Policy describes how we collect, use, and share your personal information. The Privacy Policy is incorporated into these Terms by reference. By accepting these Terms you also acknowledge the Privacy Policy.

We may update these Terms from time to time. If we make material changes that affect your use of the Service or your legal rights, we will notify you by email or through the Service at least 14 days before the changes take effect (or such longer period as required by applicable law). Other changes will be reflected by updating the Effective Date at the top of this page. By continuing to use the Service after the changes take effect, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription as described in Section 5.

2. Important Disclaimers

a. Accuracy of content

We endeavor to ensure the accuracy of the styling information, outfit recommendations, and related content provided through the Service. However, we do not guarantee that all information is free from errors, omissions, or inaccuracies. The Service is provided for informational and entertainment purposes only.

b. Personalization

The Service generates personalized style recommendations based on the answers you provide during the onboarding quiz and other inputs. While we strive to align these recommendations with your preferences and stated characteristics, we cannot guarantee that they will fully meet your individual needs, fit your body, suit your taste, or work for any particular occasion.

c. Results and testimonials

Outcomes from using the Service vary widely between individuals. We do not promise any specific result, and your experience may differ from others. Customer testimonials, reviews, and example outcomes shown on our website or in our marketing materials represent the experiences of those individual users, may not be typical, and should not be interpreted as guarantees of similar results for you. We provide them for illustrative purposes only.

3. Profile Registration

To use certain features of the Service, you may need to register a profile (a “Profile”). When you register, you represent and warrant that:

You are responsible for maintaining the confidentiality of your Profile login credentials and for all activities that occur under your Profile. You agree to notify us immediately of any unauthorized use of your Profile or any other breach of security at support@aesty.ai. We are not liable for any loss or damage arising from your failure to comply with these requirements.

We reserve the right to suspend or terminate your Profile or your access to the Service, with or without notice, if we believe you have breached these Terms, engaged in fraudulent or abusive behavior, or otherwise misused the Service.

4. Service

The Service includes the Aesty mobile app, the website at aesty.ai (including the style quiz at aesty.ai/quiz), and related features such as personalized outfit recommendations, virtual try-on, color and style analysis, wardrobe management, and shopping recommendations.

Subject to your compliance with these Terms and your payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use only. All rights not expressly granted to you in these Terms are reserved to us and our licensors.

All text, images, marks, logos, compilations, data, software, and other materials displayed on or used to operate the Service (excluding photos and other content you upload) are the property of Aesty or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, transmit, sell, broadcast, rent, share, modify, adapt, create derivative works from, decompile, reverse engineer, or otherwise exploit any portion of the Service except as expressly permitted by these Terms or with our prior written consent.

We reserve the right to modify, suspend, or discontinue any feature, component, or part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance, except to the extent required by mandatory consumer law.

We have no obligation to provide you with customer support of any kind, but we may provide support from time to time at our sole discretion. You can reach us at support@aesty.ai.

5. Subscriptions and Payments

Certain features of the Service are offered on a paid subscription basis. By purchasing a subscription, you authorize us and our payment processor to charge the payment method you provide for the applicable subscription fees.

a. Automatically renewing subscriptions

Subscriptions automatically renew at the end of each billing period for the same length and at the same recurring price disclosed to you at the point of purchase, until you cancel. By signing up for a subscription, you agree that your subscription will automatically renew and that we are authorized to charge the payment method you provided for each renewal term.

b. Cancellation

You may cancel your subscription at any time. After you subscribe, our subscription provider RevenueCat will email you a link to a self-serve customer portal where you can cancel with one click. To avoid being charged for the next billing period, you must cancel at least 24 hours before the end of the then-current subscription period. Your access to paid features will continue through the end of the period you have already paid for.

If you purchased your subscription through the Apple App Store, you must cancel through your Apple ID account settings (Settings → Apple ID → Subscriptions on iOS, or the equivalent on macOS). Apple controls cancellation and refund policies for App Store purchases.

c. Pricing changes

We may change subscription fees at any time. We will notify you of any price change before it takes effect, in the manner and within the timeframe required by applicable law. If you do not agree to the new price, you may cancel your subscription before the change takes effect.

d. Refunds

Except as required by mandatory consumer law or as expressly provided in our Money-Back Policy, all subscription purchases are final and non-refundable. We offer a conditional 30-day money-back guarantee subject to the eligibility limits described in the Money-Back Policy. App Store purchases are subject to Apple's refund policies and must be requested through Apple.

e. Right of withdrawal (EU/EEA and UK consumers)

If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, you have the right to withdraw from your subscription contract within 14 days of the date of purchase, without giving any reason. To exercise this right, you must inform us of your decision to withdraw by an unambiguous statement sent to support@aesty.ai before the 14-day period expires. If you withdraw, we will reimburse you for the subscription fee using the same means of payment you used for the original transaction, without undue delay and in any event no later than 14 days after we are informed of your decision.

Loss of the right of withdrawal. The Service is supplied as digital content and online services. By purchasing a subscription and accessing or using paid features before the 14-day withdrawal period expires, you expressly request that we begin performance immediately and acknowledge that you will lose your right of withdrawal once performance has begun. If you have used paid features during the 14-day period, you will be charged a proportionate amount for the part of the Service supplied to you up to the moment you informed us of your withdrawal.

App Store purchases. If you purchased your subscription through the Apple App Store, Apple is the merchant of record and you must exercise your right of withdrawal directly through Apple's refund process at reportaproblem.apple.com. Apple controls refunds and withdrawal processing for App Store transactions, and we are unable to refund App Store purchases on Apple's behalf. The 14-day right and the express request for immediate performance described above still apply to your contract with Apple.

VAT. Where applicable, prices for EU/EEA and UK consumers are inclusive of VAT at the rate applicable in your country of residence.

f. Failure to pay

If we are unable to collect a renewal payment, we may make reasonable efforts to notify you and resolve the issue. We reserve the right to suspend or terminate your access to paid features without notice if fees are not paid within 30 days of the original due date.

6. Photo Usage for Virtual Try-On

The Aesty mobile app offers a virtual try-on feature that allows you to visualize how clothing items would look on you. By using this feature, you acknowledge and agree that:

When interacting with our customer support representatives, you agree to maintain a respectful and professional demeanor. If your conduct toward our staff is threatening, harassing, abusive, or offensive, we reserve the right to terminate your account immediately and refuse you further access to the Service.

8. Disclaimer of Warranties

EXCEPT TO THE EXTENT PROHIBITED BY MANDATORY CONSUMER LAW, YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AESTY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In particular, we make no warranty and expressly disclaim any warranty that:

No professional advice. Any statement, recommendation, or other information provided through the Service is for informational and entertainment purposes only and is not intended to substitute for professional medical, legal, financial, or other advice. If you have specific concerns or a situation that requires professional advice, you should consult an appropriately trained and qualified professional.

We may modify or discontinue the Service or any part of it at any time, with or without notice, at our sole discretion.

9. Limitation of Liability

IN NO EVENT WILL AESTY OR ITS AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS OR LOST DATA, OR FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF AESTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO AND USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA THAT RESULTS.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, AESTY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO AESTY FOR ACCESS TO THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND AESTY.

California residents. If you are a California resident, you waive California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations or exclusions may not apply to you in full. In such cases, our liability is limited to the maximum extent permitted by applicable law. Nothing in these Terms is intended to limit or exclude any liability that cannot be limited or excluded by mandatory law (including liability for fraud, gross negligence, or death or personal injury caused by negligence).

10. Indemnification

You agree to indemnify, defend, and hold harmless Aesty Labs Pte. Ltd. and its affiliates, subsidiaries, related companies, suppliers, licensors, partners, and the officers, directors, employees, agents, and representatives of each of them, from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) any photos or other content you upload to the Service; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation or any rights of any third party.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of these claims and not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. International Use

The Service is offered to users in the United States, the United Kingdom, the European Economic Area, and other jurisdictions where it is lawfully available. We make no representation that the Service is appropriate or legally permitted for use in every jurisdiction. Accessing the Service from territories where its content or features are illegal is prohibited. If you access the Service, you do so on your own initiative and are responsible for compliance with the laws of your local jurisdiction.

12. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Service are governed by the laws of the Republic of Singapore, without regard to its conflict-of-law rules. Nothing in these Terms shall deprive you of the protection afforded to consumers by the mandatory rules of the law of the country, U.S. state, or EU/EEA member state in which you reside.

Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts of Singapore. The parties irrevocably submit to the personal jurisdiction and venue of the courts of Singapore and waive any defenses of improper venue or forum non conveniens, except where mandatory law of the user's place of residence requires otherwise.

EU/EEA and UK consumers. If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, you also have the right to bring proceedings against us in the courts of the country in which you are resident, and we may only bring proceedings against you in those same courts. The European Commission provides an online dispute resolution platform for consumer disputes, available at ec.europa.eu/consumers/odr. We are not, however, obliged or willing to participate in dispute resolution proceedings before a consumer arbitration board.

13. Miscellaneous Provisions

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. A waiver by us of any covenant, condition, or agreement in these Terms is not a waiver of any other or subsequent breach.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed or modified to the minimum extent necessary to make it valid and enforceable, and the remainder of these Terms will continue in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy and the Money-Back Policy, constitute the entire agreement between you and Aesty regarding your use of the Service and supersede any prior or contemporaneous agreements, communications, or proposals on the same subject.

Assignment. We may assign or transfer these Terms, in whole or in part, to any successor in interest or affiliate without your consent. You may not assign or transfer these Terms or your rights under them without our prior written consent.

Electronic communications and signatures. When you communicate with us through the Service or by electronic means such as email, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that by clicking a button or checkbox labeled “Submit,” “Continue,” “Register,” “I Agree,” or similar, you are submitting a legally binding electronic signature.

Force majeure. We will not be liable for any failure to perform our obligations under these Terms to the extent that the failure arises from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, internet or power outages, or third-party service failures.
